How long does it take to incorporate a company in Romania?
In most cases, a Romanian SRL is fully registered within one to two weeks from the moment we have your documents in order. The timeline depends mainly on how quickly signatures and identity documents come back to us, and whether the chosen company name is available. We manage the entire filing with the Trade Register on your behalf.
Can I open a Romanian SRL without visiting Romania?
Yes, and most of our clients never set foot in the country to do it. The entire process, from drafting the constitutive documents to the final registration, is handled remotely and in English. Where signatures are needed, we arrange them through a power of attorney or remote notarisation, so the whole company can be set up from wherever you are.
What is the minimum share capital for an SRL in 2026?
From 1 January 2026, the minimum share capital to incorporate an SRL is RON 500, roughly €100. There is an important caveat: if your company's annual turnover later exceeds RON 400,000, the law requires you to increase the share capital to RON 5,000 within a set period. We flag this early so it never takes you by surprise.
What taxes will my Romanian micro-enterprise pay?
A qualifying micro-enterprise pays a turnover based tax rather than the standard 16% profit tax, which is why the structure is popular with smaller companies. Dividends are then taxed separately when profits are distributed to you. The exact rate and eligibility conditions change with each fiscal package, so we assess your specific situation rather than relying on general rules of thumb.
Is a bank account mandatory for Romanian companies in 2026?
Yes. Since 2026, a Romanian company that does not hold a bank account can be declared fiscally inactive by ANAF, with serious consequences that can ultimately lead to dissolution. Opening an account is therefore not just practical but a compliance requirement, and we help you set one up as part of the incorporation process.

No. A Romanian SRL can be owned and managed entirely by foreign nationals, with no requirement for a resident director or a local shareholder. You keep full control of your company. There are practical points to consider around administration and local representation, and we will walk you through the options that suit how you intend to run the business.
What is a Certificat Constatator and when will I need one?
It is the official certificate issued by the Trade Register confirming your company's current status, its directors, shareholders and registered activities. Banks, notaries and counterparties routinely ask for a recent one before a transaction. We can obtain it for you and, just as importantly, read it carefully to make sure nothing in it stands in the way of your deal.
Can you act as my company's registered office in Bucharest?
Yes. We provide a registered office address in Bucharest, managed by the firm, which includes handling official correspondence and keeping you informed of anything that requires your attention. For founders based abroad, this ensures that letters from ANAF or the Trade Register never go unnoticed.
