Foreign investors can establish a limited liability company (SRL), joint-stock company (SA), branch office, or representative office in Romania. The SRL is the most common structure, requiring minimum share capital of RON 500 (approximately €100) and at least one shareholder of any nationality. All Romanian companies incorporated before 1 January 2026 must reclassify their activity codes from CAEN Rev.2 to Rev.3 by 25 September 2026. After this deadline, the Trade Register will reject any filing using old codes. We handle the full process — code mapping, amended Articles of Association, and ONRC filing. From 2026, companies with annual turnover under €100,000 and at least one employee pay a flat 1% tax on revenue — one of the lowest effective rates in the EU.
